Terms of Service

Eligibility and accounts

You must provide accurate information, keep credentials secure, and use the Services only for lawful business purposes. You are responsible for activity conducted through your account, API keys, and workspaces. Accounts may be subject to review and approval before access is granted.

Skhemata may send essential account, security, approval, evaluation, billing, incident, and support communications. Optional marketing communications may be unsubscribed from at any time.

Use of the Services

You may use the Services to configure workloads and infrastructure, perform evaluations, analyze runtime evidence, manage human-approved deployment workflows, and use other functionality made available under your plan.

You may not violate law or third-party rights; submit content you are not authorized to process; probe or bypass security, quotas, approvals, or tenant boundaries; misuse managed compute; introduce malicious code; interfere with service operation; or use the Services to build or operate unlawful systems.

Customer content and infrastructure

You retain ownership of your inputs, datasets, traces, configurations, and other customer content. You grant Skhemata the limited rights needed to host, process, transmit, evaluate, secure, and display that content to provide the Services. You are responsible for obtaining necessary rights and selecting appropriate privacy, retention, provider, and execution settings.

Customer-managed infrastructure, credentials, provider accounts, models, and endpoints remain your responsibility. Skhemata does not guarantee the availability, behavior, licensing, compatibility, or security of third-party models, providers, or infrastructure.

Evaluations and recommendations

Evaluation results and Optimization Opportunities are based on the datasets, deterministic scorers, configurations, and evidence available at the time. Results do not guarantee production performance, safety, legal compliance, or a particular business outcome. Customers remain responsible for reviewing evidence and approving deployment and production changes.

Managed evaluation compute

Managed evaluation is limited to eligible workspaces, approved models, supported runtimes, allowlisted resources, and configured safety limits. You authorize Skhemata to provision and terminate temporary provider resources for confirmed evaluations. Quotes may be estimates; final usage and charges are based on authoritative settled provider data where available.

Plans, billing, and compute credits

Paid plans renew according to the checkout terms shown when purchased until cancelled. You authorize applicable subscription, top-up, and usage-related charges through our payment processor. Taxes may apply. Evaluation Compute Credits are a service balance, not cash or a bank account, and may be subject to plan, expiration, eligibility, reservation, and usage rules disclosed in the Services. Customer-managed compute does not consume managed-compute credits.

Except where required by law or expressly stated otherwise, amounts already used for settled managed compute are non-refundable. Plan changes, cancellations, and credit treatment follow the terms presented in the application and payment flow.

Intellectual property

The Services, software, branding, interface, and related materials are owned by Skhemata or its licensors and protected by applicable laws. Except as expressly permitted, you may not copy, distribute, reverse engineer, resell, or create derivative works from the Services.

Suspension and termination

You may stop using the Services at any time. We may restrict or terminate access where we reasonably determine that an account breached these Terms, created security or financial risk, failed required review, exceeded authorized use, or must be restricted for legal or platform-integrity reasons.

Disclaimers and limitation of liability

The Services are provided on an "as is" and "as available" basis to the maximum extent permitted by law. We do not guarantee uninterrupted operation, error-free results, model quality, provider capacity, infrastructure availability, savings, or any specific technical or business outcome.

To the maximum extent permitted by law, Skhemata will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost revenue, profits, goodwill, data, or business opportunities arising from or related to the Services.

Changes and contact

We may revise these Terms from time to time. Continued use after updated Terms become effective constitutes acceptance of the revised Terms. Questions may be sent to legal@skhemata.com.
